By accessing or using LeadLens ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We may modify these Terms at any time. If we make material changes, we will notify you through the Service or by email. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

2. Description of Service

LeadLens provides an advertising management platform that enables wedding photographers and related businesses to create, manage, and optimize advertising campaigns on Meta platforms (Facebook and Instagram). Our Service includes:

• Campaign creation and management tools
• Performance analytics and reporting
• Audience targeting capabilities
• Integration with Meta advertising platforms

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access to your account

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

4. Subscription and Payment

4.1 Subscription Plans

Access to certain features of the Service requires a paid subscription. Subscription plans, pricing, and features are described on our website and may change from time to time.

4.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated in these Terms
• You authorize us to charge your payment method for all fees due
• Failure to pay may result in suspension or termination of your account

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until then.

5. Meta Platform Integration

The Service integrates with Meta's advertising platforms. By using this integration, you agree to:

• Comply with Meta's Advertising Policies
• Comply with Meta's Platform Terms
• Authorize us to access and manage your Meta ad accounts on your behalf
• Maintain valid credentials and permissions for your Meta accounts

We are not responsible for changes to Meta's platform, policies, or APIs that may affect the Service's functionality.

6. Advertising Spend

When you create advertising campaigns through our Service:

• Advertising spend is charged directly by Meta to your linked payment method
• We do not collect or process advertising spend payments
• You are solely responsible for your advertising budget and spend
• Campaign budgets you set are recommendations; actual spend may vary
• We make no guarantees about campaign performance or results

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Create advertising that is false, misleading, defamatory, or discriminatory
• Infringe on the intellectual property rights of others
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Use automated means to access the Service without our permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or provide the Service to third parties without authorization

8. Content and Intellectual Property

8.1 Your Content

You retain ownership of content you upload to the Service (photos, videos, ad copy, etc.). By uploading content, you grant us a non-exclusive, worldwide license to use, display, and transmit your content as necessary to provide the Service.

8.2 Our Intellectual Property

The Service, including its design, features, and content (excluding your content), is owned by LeadLens and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any particular advertising results or outcomes will be achieved
• The Service will meet your specific requirements

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADLENS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless LeadLens and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your advertising content or campaigns
• Your violation of any third-party rights

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and data
• Active campaigns may be paused or deleted
• You remain responsible for any outstanding payments

You may terminate your account at any time by contacting us or using the account deletion feature.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and LeadLens regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights at any time.
• Notices: We may provide notices through the Service or by email to your registered address.
